Term of Use & Legal Disclosure

2.1 Age requirement

You must be at least 18 years old to use the Services. By registering an account, you represent that you meet this requirement.

2.2 Account Creation & Security

You may need to create an account by providing personal information, such as your name, email address, and other details as requested. You agree that all information you provided is accurate and up-to-date.

You are responsible for maintaining the confidentiality of your account credentials and all activities that occur under your account. Notify use immediately of any unauthorized access or security breach.

2.4 Account Suspension or Termination

We reserve the right to suspend or terminate your account at any time for any reason, including if we suspect fraudulent, abusive, or unlawful activity.

3.1 Social Networking Platform

The App enables Users to connect, share interests, and coordinate meetups or events. We do not guarantee the success, safety, or outcome of any interactions, communications, or events arranged through our Services.

3.2 Location Sharing

We offer an in-app map feature that can display your approximate or exact location to other Users, and otherwise show you their locations, if they opt in to sharing location. By enabling Location Services, you consent to the collection, use and sharing of your location data in accordance with our Privacy Policy.

3.3 Event Hosting

Hosts may post event details, invite other Users, and manage event logistics. Hosts are solely responsible for ensuring that their event complies with applicable laws, regulations, and venue requirements.

3.4 Venue Information

The App may display or link to venue information (e.g., bars, cafes, public spaces). We do not endorse or guarantee the quality, safety, or legality of any listed venue.

4.1 Prohibited Activities

Posting content that is obscene, defamatory, hateful, or infringes upon intellectual property rights. Harassing, stalking, threatening, or defrauding other Users. Uploading malicious code or engaging in spamming, phishing, or any other manipulative practices. Violating any applicable laws or regulations. No adult content, keep event listings, images and messages PG-13. Explicit or secually graphic content will be removed. No spam, avoid, excessive, self-promotion or irrelevant links. While sharing relevant content is fine, spamming the community clutters the feed. No illegal activity.

4.2 Respect & Civility

We encourage courteous communication and mutual respect. Users should report any inappropriate behavior or content that violates these Terms or our guidelines.

4.3 Enforcement

We may, in our sole discretion, remove content or suspend accounts that violate these Terms. However, we do not have any obligation to monitor user activity or moderate disputes among Users.

4.4 Community Guidelines & Culture

Additional rules and guidelines are incorporated by reference and form part of these Terms. We are a blend of friendly, casual, and practical. We want to highlight cooperative behavior and positivity. Feel free to welcome new members or offer helpful tips about local activities. We're all here to build a real connection.

4.5 Messaging & Communication

If you are part of an organization, or event group chat, respect the group's topic and privacy. Report any misuse such as inappropriate messages or harassing. Please keep conversations polite and friendly.

4.6 Nationwide U.S. Coverage

We aim to serve all states and communities. If you host large events, remember local laws (w.g., permist, alcohol regulation etc.) You are responsible for ensuring compliance with any rules in your area.

5.1 Content Ownership

You retain any rights you already hold in Content you post on the Services. However, by posting Content, you grant us a non-exclusive, worldwide, royalty-free license to use, copy, distribute, display, and create derivative works of your Content in connection with operating or promoting the Services.

5.2 Responsibility for Content

You are solely responsible for the Content you post. We do not endorse or guarantee the accuracy, completeness, or usefulness of any User-generated Content.

5.3 Third-Party Rights

You represent that you own or have all necessary rights to the Content you post, and that such posting does not violate or infringe the rights of any third party.

6.1 Paid Events

Hosts may charge fees for event attendance. We are not responsible for payment processing or refunds unless otherwise stated. Filo holds ticket payments until after the event. If a problem arises (e.g., cancellation or major change), hosts must communicate refund options or adjustments.

6.2 Third-Party Payment Processors

If payments are processed through a third-party vendor, you agree to abide by their terms and conditions. We do not control their actions and disclaim liability for their services.

6.2 Payment and Membership

When you buy a ticket, funds go to Filo first, funds then release to the host if everything goes smoothly. If you purchase/subscribe to any premium membership, you can pause, cancel at will. Charges already incurred may not be refundable, depending on the plan's terms.

7.1 Accuracy of Location Data

We do not guarantee the real-time accuracy of location data. Factors like GPS availability, device settings, and network conditions may cause delays or errors.

7.2 Risks of Location Sharing

By enabling location sharing, you acknowledge that other Users can see your approximate location. Exercise caution when sharing your location or meeting with new contacts.

7.3 Opt-Out

You can disable location permissions at any time in your device settings. Disabling location sharing may limit certain features of the Services.

8.1 Host Responsibilities

Hosts are responsible for securing any permits required by the law, ensuring the venue is safe and suitable for attendees, and providing accurate, non-misleading event details. Hosting etiquette requires honest listening. If you are organizing an event, provide accurate details, date, location, ticket price etc. Don't mislead attendees about what they are paying or receiving.

8.2 Attendee Responsibilities

Attendees are responsible for the risks associated with attending events, confirming the suitability or safety of an event before participating, and complying with any applicable age restrictions or local regulations.

8.3 No Safety guarantee

We do not supervise or control events hosted by Users. We disclaim any liability for incidents, injuries, or disputes that occur at, before, or after an event.

8.4 Release of claims

You release and forever discharge Filo Technologies Inc. from any (including third-party claims) and all claims arising out of relating to your attendance, organization, or hosting of any events.

9.1 Services Provided "As Is"

We provide the App and Services on an "as is" and "as available" basis, without warranties of any kind, either express or implied.

9.2 No Guarantee of Outcomes

We make no warranties regarding the effectiveness of our Services in matching Users, hosting successful events, or ensuring your safety.

9.3 Third-Party Content

We are not responsible for Content posted by other Users, nor for the conduct of third parties you may encounter through our Services.

9.4 No Warranty of Uptime

We do not warrant that the Services will be uninterrupted, secure, or error-free at all times. We may suspend or discontinue features without notice. In jurisdictions with specific consumer rights, nothing herein is intended to override mandatory consumer protections.

10.1 No Liability for User Interactions

Under no circumstances shall we be liable for any direct, indirect, incidental, special, consequential, or punitive damages resulting from your interactions, whether online or in person, including events or meetups arranged through our Services.

10.2 Location Sharing & Data

We assume no liability for any loss or damage arising from your decision to share location data, nor from inaccuracies in location information.

10.3 Aggregate Liability Cap

To the fullest extent permitted by law, our total liability for any claims arising under these Terms shall not exceed the amount(if any) you have paid to us in the last three(3) months or one hundred U.S. dollars (U.S.$100) whichever is greater.

10.4 Jurisdictional Limitations

Some jurisdictions do not allow certain limitations of liability. In such cases, our liability is limited to the maximum extent permitted by applicable law.

12.1 Governing Law

These terms shall be governed by and construed in accordance with the laws of jurisdiction in which Filo Technologies Inc. is incorporated, without regard to conflict of law principles.

12.2 Arbitration

Any dispute arising out of or relating to these Terms or your use of the Services shall be resolved by binding arbitration in Dover, Delaware, conducted in English, under the Commercial (or Consumer) Arbitration Rules of the American Arbitration Association (AAA). Judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof.

12.3 Waiver of Class Actions

To the extent permissible by law, you agree to resolve disputes only on an individual basis, and not as a plaintiff or class member in any class or representative action.

13.1 Our IP

All trademarks, logos, service marks, and software code used in the Services are the exclusive property of Filo Technologies Inc. or its licensors. You agree not to use or display these without prior written consent.

13.2 Feedback

If you submit ideas or feedback, you grant us a non-exclusive, perpetual, irrevocable, royalty-free license to use such feedback for any purpose.

13.3 Modifications to the Services

Updates & Changes: We may update, modify, or discontinue any part of the Services at any time, with or without notice.

User Notifications: We may notify you of significant changes via email, in-app notifications, or by posting a notice within the App.

14.1 User Termination

You may stop using the Services at any time. If you wish to delete your account, contact us at dev@filo.host.

14.2 Company Termination

We may terminate or suspend your access at any time for any reason, including breach of these Terms or suspected abusive conduct. Upon termination, Sections intended to survive (e.g., Disclaimers, Limitations of Liability, Indemnification) will remain in effect.

15.1 Severability

If any provision of these Terms is deemed unlawful or unenforceable, the remaining provisions shall remain in full force and effect.

15.2 No Waiver

Our failure to enforce any right or provision herein shall not constitute a waiver of such right or provision.

15.3 Assignment

We may assign or transfer our rights and obligations under these Terms without restriction.

15.4 Entire Agreement

These Terms, together with our Privacy Policy and any additional guidelines referenced, constitute the entire agreement between you and Filo Technologies Inc. regarding the Services.
